Re.Source End User Licence Agreement and Terms & Conditions of Use
This End-User Licence Agreement ("Agreement") is a legal agreement between you(referred to as "User" or "You") and Cardinal Management Limited (referred to as "Licensor" or "We"), governing your use of Re.Source the online NHS database (referred to as the "Website") provided by Licensor. Collectively referred to as the Parties.
By accessing or using the Website, you agree to be bound by the terms and conditions of this Agreement.

Terms and Condition
Please read these Terms and Conditions ("Agreement") carefully before using our Re.Source online database (referred to as the "Website"). This Agreement sets forth the legally binding terms and conditions for your use of the Website. By accessing or using the Website, you represent that you have read, understood, and agree to be bound by this Agreement. If you do not agree with any part of this Agreement, you must not access or use the Website.

Use of the Website
  • a. You may use the Website for lawful purposes only.You agree not to use the Website in any way that violates any applicable laws or regulations or which may infringe upon the rights of others.
  • b. You are solely responsible for any content you upload, post, or transmit through the Website, and you shall not infringe upon the intellectual property or other rights of any third party.
  • c. Your use of the Website will comply with the Licensors Reasonable Use Policy set out below.
  • d. Customers of the Major Trauma Signposting Partnership (MTSP) have free unfettered access and use of the system subject to the Terms and Conditions of this Agreement.


  • Reasonable Use Policy
    This Reasonable Use Policy sets forth guidelines and expectations for users of our Re.Source the online NHS rehabilitation database (referred to as the "Website"). By accessing or using the Website, you agree to comply with this Policy.
    • a. You shall not upload, store, or transmit any content that is illegal, harmful, defamatory, obscene, infringing, or otherwise objectionable.
    • b. You shall not use the Database to harass, threaten, or intimidate others, or to engage in any form of abusive or offensive behaviour.
    • c. You will make all reasonable efforts to ensure the data you upload into the Website will be accurate and appropriate for the purposes of the Website.
    • d. You shall respect the privacy and confidentiality of the data stored in the Database.
    • e. You shall not access or attempt to access data that does not belong to you without proper authorisation.
    • f. You shall not upload, share, or distribute any confidential or sensitive information to the Website.
    • g. You shall not engage in any activities that may disrupt or compromise the integrity, security, or performance of the Website or its underlying systems.
    • h. You shall not attempt to gain unauthorised access to the Website, other user accounts, or any systems or networks associated with the Website.
    • i. You shall not introduce or spread any viruses, malware, or other harmful code through the Website.
    • j. You shall not engage in any activities that violate the rights of others, including intellectual property rights, copyrights, trademarks, or patents.
    • k. You shall not use the Website to engage in spamming, phishing, or any form of unauthorised advertising or solicitation.
    • l. You shall not engage in any activity that may cause harm, inconvenience, or annoyance to other users or third parties.
    • j. We may impose reasonable limits on the use of the Website, number of searches, storage capacity, bandwidth, and data transfer limits.
    • k. You shall not exceed these usage limits without our prior authorisation.

    We reserve the right to update or modify this Policy at any time. It is your responsibility to review this Policy periodically and comply with any changes.

    Consequences of Violation
    Violation of this Reasonable Use Policy may result in the suspension or termination of your access to the Website, without prior notice.

    Restrictions of use
    You shall not:
    • a. Copy, modify, adapt, translate, or create derivative works of the Website;
    • b. Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Website;
    • c. Remove, alter, or obscure any copyright, trademark, or other proprietary notices on the Website;
    • d. Use the Website for any unlawful, harmful, or unauthorised purpose;
    • e. Share, distribute, or disclose your access credentials to the Website to any third party;
    • f. Use the Website to infringe upon the rights of any third party;
    • g. Use the Website in a manner that could damage, disable, overburden, or impair the operation of the Website or any other systems used to provide the Website.
    • h. Use the Website to upload, post, transmit, or otherwise distribute any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, obscene, vulgar, or otherwise objectionable.


    Intellectual Property Rights
    • a. The Website and its contents, including but not limited to text, graphics, logos, images, audio clips, video clips, data compilations, and software, are owned or licensed by us and protected by copyright, trademark, and other intellectual property laws.
    • b. You may not modify, reproduce, distribute, create derivative works of, publicly display, or in any way exploit any of the content on the Website without our prior written consent.
    • C. You may not pass off the Website as being connected or associated to You or Your organisation in any way without prior written authorisation.


    Licence Grant
    Licensor grants you a non-exclusive, non-transferable, limited licence to access and use the Website solely for your internal business purposes. This licence is subject to your compliance with the terms and conditions of this Agreement.
    You are not permitted to use the Website for commercial gain without prior authorisation from the Licensor.
    We reserve the right to take legal action or cooperate with law enforcement authorities if your actions violate applicable laws or regulations.

    Ownership
    The Website and all intellectual property rights therein shall remain the exclusive property of Licensor. This Agreement does not grant you any ownership rights to the Website. All rights not expressly granted herein are reserved by Licensor.

    Privacy and Data Security
    Licensor respects your privacy and will handle your personal information in accordance with a) the UK General Data Protection Act 2018 (as defined by the UK Data Protection Act 2018) and any subordinate legislation enacted pursuant to the Data Protection Act 2018; and b) the General Data Protection Regulations (GDPR) 2018; and c) any statute enacted in the United Kingdom which replaces, supersedes or extends the Data Protection Act 2018 or the GDPR; and in accordance with our Privacy Policy.
    Licensor will implement reasonable measures to protect the security of your data stored in the Website. However, you acknowledge that no system is completely secure and agree that Licensor shall not be held responsible for any unauthorised access, loss, or alteration of your data.

    Support and Maintenance
    Licensor may, at its sole discretion, provide support and maintenance services for the Website.
    The Licensor is not in any way held responsible for any business interruption or loss incurred by You as a result of any maintenance or technical difficulties with the Website.
    Any support or maintenance services provided to You may be subject to additional terms and fees, if applicable, as agreed upon separately between the Parties.

    Term and Termination
    This Agreement shall remain in effect until terminated by either party. Either party may terminate this Agreement at any time with written notice to the other party. Upon termination, you shall cease all use of the Website and promptly destroy all copies of the Website or information you have downloaded from the Website that may be in your possession or control.
    Failure to pay the Licensor the agreed subscription or licence fees for use of the Website, will result in immediate termination of the Agreement without any further notice.

    Limitation of Liability
    In no event shall the Licensor be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with the use or performance of the Website, even if the Licensor has been advised of the possibility of such damages. The Licensor's total liability for any claim arising out of or relating to this Agreement shall not exceed the amount paid by you for the use of the Website during the twelve (12) months preceding the event giving rise to the claim.

    Governing Law and Jurisdiction
    This Agreement and any dispute or claim arising out of or in connection with it or its subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the law of England and Wales.

    Entire Agreement
    This Agreement constitutes the entire agreement between you and Licensor concerning the subject matter hereof and supersedes all prior or contemporaneous negotiations, discussions, or agreements, whether written or oral.
